1.1 - Having received a brief of requirements from the Customer, either verbal or written, Rank Visibility will produce a quotation detailing the design work to be carried out. Submitting SEO quote form is NOT a contract for work, it is simply a request for a FREE search engine optimization quote. The Customer must provide written or electronic confirmation that the quotation is acceptable. The quotation will effectively form the basis of this contract.

1.2 - This agreement constitutes the entire agreement between Rank Visibility and the Customer. In making this agreement each party confirms that they have not relied on any inducement not recorded in this agreement.

Copyright and Content

2.1 - The client must own copyright, or have reproduction rights, of all artwork, trade names, photographs, and other materials supplied to Rank Visibility for inclusion on the clients website unless otherwise provided by Rank Visibility. The client shall indemnify Rank Visibility against any costs whatsoever in connection with the ownership of copyright or reproduction rights. The client shall have full liability for the consequences of the contents of their site as long as the site reflects the clients' instructions to us.

2.2 - Customer's logos, artwork, graphics and photographs remain the Copyright of the Customer. Design, graphics and programming produced by Rank Visibility remain the intellectual property, of Rank Visibility unless otherwise agreed. Copyright of any CGI or JavaScripts within the website will remain the property of Rank Visibility or the Script Developer for the duration of the website’s existence and shall not be modified or reused without the express permission of Rank Visibility or the Script Developer.

2.3 - All domain names are registered in the clients name and not that of Rank Visibility.

2.4 - Rank Visibility withholds the right to refuse publication on the web of any content which it sees as being indecent, obscene or offensive towards others.

Design of Website

3.1 - Rank Visibility will produce and publish temporarily on the Rank Visibility a design and other work proof for the Customer's approval. The design copyright of the proof shall remain the sole property of Rank Visibility. Use of the design or any modifications in any respect without the express written permission of Rank Visibility will constitute breach of copyright.

3.2 - Rank Visibility will complete the design and build of the Customer's website after receiving written or electronic confirmation that the design proof is satisfactory.

3.3 - Rank Visibility will release website coding and graphics to the Customer and issue a final invoice for the project.

3.4 - The invoice for the outstanding quotation value must be paid in full by the Customer within 7 days of the release of the website code and graphics.

3.5 - Once Rank Visibility has received written confirmation that the design proof is satisfactory, modifications to the design specification will be considered an amendment to the contract. All modifications must be confirmed in writing or electronic reply to the proposal.

Invoicing, Payment and Tender Validity

4.1 - Payment for design services must (unless otherwise agreed with) be made as follows: 50% with order, plus 50% once published on the web. Any modifications will be a charged at the prevailing hourly rate.

4.2 - Payment shall be made in USD, UK Pounds Sterling or INR to SprightlyMedia. Payments are due within 14 days of presentation of invoice. Any bank charges or transfer fees levied on third party products would be borne by you. If due to bank charges, transfer fees, or the like, Rank Visibility should receive less than its invoice amount, Rank Visibility will re-invoice customer for the shortfall. In the event that any amount remains unpaid fourteen days after invoice date, Rank Visibility reserves the right to discontinue, withhold, or suspend services to the customer to whom such unpaid amounts relate.

4.3 - Tenders and Quotes are valid for 30 days from the date of the Tender or Quote. All prices quoted may be subject to change without notice after this period.

4.4 - Once Rank Visibility has undertaken a commission for services, a cancellation fee of 75% will apply if the contract is terminated through NO fault of Rank Visibility. An interim invoice will also be levied for 75% of the total quotation value if website content is not received within 30 days of commission.

4.5 - The final invoice will be issued when work has been completed on the Customer's website design. Website code and graphics will not be released to the Customer until payment is received in full unless other arrangements have been made.

4.6 - Any further modifications to the website after final publishing will be chargeable under separate terms.

Fraud

5.1 - Rank Visibility will not tolerate any attempts to obtain goods by fraudulent means. Any fraudulent action will be reported to the relevant authorities. Please note that Internet host IP addresses are recorded when placing an order online.

Third Party Materials

6.1 - Rank Visibility gives no warranty, representation or undertaking in relation to any third party materials or works.

6.2 - Subject to the foregoing Rank Visibility shall have no liability to client whatsoever in relation to the works and gives no warranty and makes no representation as to whether Works contain or are free from racist, defamatory, sexually explicit, inflamatory, obscene or other legally restricted material and explicitly excludes all and any liability in relation thereto.

General

7.1 - Client shall not assign the benefit or burden of this agreement without the prior written consent of Rank Visibility.

7.2 - All communication between client and Rank Visibility can be form of soft copy (email, doc file, image or an attachment) OR hard copy (printed).

7.3 - Subject to the foregoing Rank Visibility shall have no liability to client whatsoever in relation to the works and gives no warranty and makes no representation as to whether works contain or are free from racist, defamatory, sexually explicit, inflamatory, obscene or other legally restricted material and explicitly excludes all and any liability in relation thereto.

7.4 - Rank Visibility may at any time revise these terms of services by updating this posting. You are bound by any such revisions and should therefore periodically visit this page to review the then current terms and conditions to which you are bound.

7.5 - This contract shall be subject to Indian Law. Where it is held that Rank Visibility is not entitled to rely on any term in this contract, then Rank Visibility may also be allowed to cancel all rights and obligations under this contract, or to hold all other clauses as valid entirely at their sole discretion.
